Software houses, IT consultants, managed service providers and app developers sell something clients cannot easily inspect: working systems. When a system fails, the client's first question is often who is responsible. This guide explains how professional indemnity (PI) insurance applies to IT and tech companies in Malaysia, where it stops, and how it sits alongside cyber cover.

## The short answer

PI typically responds when a client says your advice, code, configuration or service was wrong or fell short of what you agreed, and that this caused them a financial loss. It can help pay for your legal defence and for compensation or a settlement you become legally liable for, within your limit and the policy terms. If you want the general introduction first, read [what professional indemnity insurance is](https://www.coverbuddies.com/en/knowledge-hub/what-is-professional-indemnity-insurance). This article focuses on the issues specific to technology work.

## Why tech work carries its own PI risks

- **Deliverables are complex and change often.** Scope creep and unclear requirements are a common starting point for disputes.
- **Clients depend on the system.** A fault in billing, inventory or booking software can stop a client trading, so the loss claimed can be much larger than your fee.
- **Contracts carry commitments.** Service levels, delivery dates, warranties and acceptance tests can all become the basis of a claim.
- **Several parties are involved.** Subcontractors, offshore developers, cloud providers and software components all sit between you and the finished result.

## Illustrations of how a claim can start

These are scenarios to help you think, not claims Cover Buddies has handled. Outcomes always depend on the facts, the contract and the policy wording.

### A software project goes live with a serious fault

A company builds a custom ordering system for a retailer. After launch, a calculation error under-charges customers for several weeks. The retailer says the developer's testing was inadequate and claims for the revenue it lost. PI is designed for this kind of allegation of negligent work.

### A missed deadline and a failed migration

An IT consultant manages a data migration for a client. The cut-over runs late and some records do not transfer correctly. The client alleges the plan was flawed and claims for staff time, lost orders and the cost of fixing the data.

### Advice that did not fit the client's needs

A consultant recommends a platform for a clinic that cannot support a workflow the clinic relies on. The clinic says it paid for an unsuitable system and claims for replacement costs. Whether PI responds depends on whether the allegation is about the quality of your advice and on what the contract promised.

### Intellectual property allegations

A developer uses a code component in a client's product. A third party later says the client had no right to use it, and the client looks to the developer. How intellectual property claims are treated varies widely between wordings, so it is worth asking directly.

## What PI usually covers

- Legal costs of defending a claim, including responding to a demand letter and any proceedings, usually with the insurer's consent.
- Compensation or a settlement you become legally liable for.
- Claims that arise from work done by subcontractors you engage, if the wording supports it. Tell your insurance broker or agency who you outsource to.

## What PI usually does not cover

- **Your own fee disputes.** A client refusing to pay an invoice is a commercial matter, though a negligence allegation made in response may be a claim.
- **Guarantees and promises beyond your legal duty.** Promising a specific business outcome, such as a fixed sales uplift, can fall outside cover.
- **Contractual penalties** you agreed to that go beyond what the law would impose, depending on the wording.
- **Deliberate wrongdoing and fraud.**
- **Physical injury or property damage.** These sit under liability policies, as explained in our [liability insurance overview](https://www.coverbuddies.com/en/knowledge-hub/liability-insurance-in-malaysia-public-product-professional-and-employers-explained).
- **Costs of your own data breach response.** That is where cyber cover comes in.

## PI or cyber insurance? Most tech companies need to understand both

| Question | Professional indemnity | Cyber insurance |
| --- | --- | --- |
| Typical trigger | A client says your work or advice was wrong | A data breach, ransomware or system outage affecting your business |
| Whose loss? | Mainly the client's financial loss | Your own response costs and claims about data |
| Example | Delivered software has a fault that costs the client money | Your systems are hit by ransomware and client data is exposed |

The two can overlap when a fault in your work also exposes data, and wordings differ in how they handle that. Do not assume one policy covers the other. If you hold client data, read [cyber insurance for Malaysian SMEs](https://www.coverbuddies.com/en/knowledge-hub/cyber-insurance-for-malaysian-smes-what-a-data-breach-can-cost-and-what-a-policy-covers) and compare the wordings side by side.

## What clients and contracts often ask for

- A certificate or proof of PI cover before work starts, particularly with larger corporate or government-linked clients.
- A minimum limit of indemnity, sometimes tied to the contract value.
- Cover that stays in place for a period after the project ends, because claims can appear months or years after delivery.

Send the insurance clause to your insurance broker or agency before you sign. It is much easier to align cover with a contract at the start than after a dispute begins.

## How PI policies work in practice

- **Claims-made basis.** Most PI policies respond to claims made against you and reported while the policy is in force.
- **Retroactive date.** This decides how far back your past work is covered. See [does PI cover advice I gave before I had the policy?](https://www.coverbuddies.com/en/knowledge-hub/does-professional-indemnity-cover-advice-i-gave-before-i-had-the-policy)
- **Continuous renewal.** A gap in cover can leave older work uncovered.
- **Notify early.** Tell your insurer, broker or agency as soon as a client complains or threatens action. Do not admit fault or agree a settlement without speaking to them first.

## What insurers typically ask

- What services you provide (development, consulting, support, hosting, system integration)
- Annual revenue, and how much comes from your largest clients
- Where your clients are located, including any overseas work
- How you handle contracts, limitation of liability clauses and sign-offs
- Your testing, quality assurance and change-control processes
- Whether you use subcontractors or offshore teams
- Past claims or incidents you are aware of

Cost depends on these answers, so we do not quote figures here. A fair price needs your details.

## Ways to reduce the chance of a dispute

- Agree a written scope, assumptions and acceptance criteria before work starts.
- Record change requests and have clients approve them in writing.
- Test before launch and keep the test records.
- Include a sensible limitation of liability clause, and have a lawyer review your standard contract.
- Keep a clear record of decisions and sign-offs in one place.

## Common questions

### Do freelancers and very small IT firms need PI?

If clients rely on your work and could suffer a financial loss when it goes wrong, the exposure exists regardless of size. Whether to buy cover depends on your contracts and how much a claim could cost you.

### Does PI cover a bug that the client discovers after delivery?

It can respond to a claim alleging that your work was negligent and caused loss, subject to the wording, your contract and the dates involved. Reporting early matters.

### Is this the same as errors and omissions insurance?

The names are often used interchangeably. See our comparison of [professional indemnity, professional liability and E&O](https://www.coverbuddies.com/en/knowledge-hub/professional-indemnity-vs-professional-liability-vs-eo-insurance).

### Is PI compulsory for IT companies in Malaysia?

There is no general rule that it is compulsory. It is usually driven by client contracts and tenders. This is general information, not legal advice.
